As seen in the article: “Attorneys Frederic Tudor and Jerry Siegelman have rejoined Sills Cummis & Gross, the firm announced this week.
“Tudor, who worked for the firm from 1987-2000, rejoins as a member of the Corporate Department. Siegelman, who worked for the firm from 2004-06, rejoins as a member of the Real Estate Department.
“Tudor will serve as outside general counsel to a wide range of companies — from startups to established companies — providing guidance and assistance on general corporate, mergers & acquisitions, intellectual property/technology and financing matters.
“Tudor also will counsel technology and other companies with respect to their international business operations and transactions, including negotiating and drafting complex Software-as-a-Service, licensing, support, professional services, product development, distribution and outsourcing arrangements, as well as day-to-day corporate governance issues, shareholder and employment agreements and disputes, and website and privacy terms and policies. He has also helped guide numerous companies, and their investors, through early-stage and venture financings, bank financings, strategic partnerships and exit/merger and acquisition transactions.
“He will work out of the firm’s Newark office.
“Siegelman, who will work out of the firm’s New York office, will concentrate his practice on commercial real estate transactions, including acquisitions, dispositions, portfolio transactions, financing, leasing and development.
“Siegelman’s practice has focused on shopping center properties and counseling clients in the development of their retail and mixed-use projects. He has also handled complex financing for borrowers, including mezzanine and securitized loans. Siegelman advises clients on their organizational structures and assists clients in their strategic goals while navigating changing market conditions.
“They both have in-house counsel experience.
“Tudor left Sills Cummis in 2000 to become the general counsel of an international software and information technology consulting company based in New York City. Siegelman served as general counsel of a real estate development company.”
