Representative Matters

  • Representation of a closely held New Jersey limited liability company in a $77 million sale of substantially all of its assets to a subsidiary of a publicly traded company on the Hong Kong Stock Exchange.  We also represented certain principals of the seller and its affiliates in connection with numerous material agreements.
  • Representation of a Canadian-based manufacturer and importer of women’s apparel in a transaction involving the repurchase by the founders of a majority interest in the company from its private equity investors.  The transaction also involved the renegotiation and revision of the company’s financing facility with its bank lending group and its factor.
  • Representation of a cosmetic company and its shareholders in a transaction involving the simultaneous contribution of its assets to a new entity and the sale of a minority interest in that entity to an internationally-known private equity fund specializing in the consumer products marketplace.
  • Representation of the licensee in the negotiation and acquisition of a 25 year license of an internationally-known trademark for women’s clothing. We subsequently represented the licensee in connection with an exclusive distribution agreement for the trademarked women’s apparel with the largest department store chain in the United States.
  • Representation of a well-known menswear designer and manufacturer in the implementation of a licensing program, which included the negotiation of license agreements in a variety of apparel and accessory categories.
  • Representation of a large national bank in connection with its participation in a $130 million secured credit line to another financial institution.
  • Representation of a major women’s apparel manufacturer in connection with a secured credit line and related financing of approximately $50 million from a group of banks as well as a revision of its factoring arrangements with its factor.
  • Representation of a large children’s apparel manufacturer in connection with the acquisition of the business and assets of another children’s apparel manufacturer, including a 20-store retail chain.
  • Representation of numerous clients in courts throughout the United States in fabric copyright infringement disputes. In this context, we have represented plaintiffs and defendants in such disputes and in one matter, successfully negotiated a settlement which included a payment of approximately $3 million from a nationally known retail chain.
  • Representation of the largest importer and distributor of character driven children’s sleepwear in connection with the sale of its assets to a United States subsidiary of a large publicly traded apparel conglomerate.
  • Representation of the second largest importer of sheets and related bed and bath products in the sale of 80% of its stock to a subsidiary of an Indian public company.
  • Representation of the acquirer in a transaction with a well-known professional athlete for the rights in his trademarks and related business and the joint venture with the athlete in the international marketing and exploitation of the trademark.
